This document governs the conditions applied to the User’s subscription to Etifor’s Services through the sections of this website.

Users are therefore invited to read the following General Conditions carefully before subscribing to any of the Services. A User who subscribes to a service on this site declares that they have read and fully accept the following General Conditions. 

Etifor also reserves the right to change from time to time the contents of these General Conditions, giving notice of this within the Site. Users are therefore invited to consult the Site periodically to check for any updates or changes. 

Any change will be effective after publication on the Site. The General Conditions applicable to subscribing to a service will always be those in force at the time the relevant Order is placed.

For the purposes of these General Conditions of contract, the following definitions apply:

• General Conditions: these general conditions of contract, through which Etifor intends to regulate the contractual relationship with Users who have subscribed to one of the Services.
• Consumer: the User who acts for purposes outside any entrepreneurial, commercial, craft or professional activity they may carry out
• Credentials: the USER ID and PASSWORD chosen by the User at registration, to be used for the purposes of the Site as indicated from time to time
• Etifor: the company Etifor S.r.l. Società Benefit, VAT No. 04570440281, with registered office in Padua (PD), Piazza Alcide De Gasperi 41, Telephone: 342 5050297, e-mail: info@wownature.eu. Etifor is the owner of the WOWnature trademark and of this website.
• Membership form: the form on the Site through which the User registers and creates their own account on the Portal in order to view their orders and the details of the project they have decided to support.
• Order: the subscription to the Service offered by Etifor, made by the User through the Site procedures
• Website or Site or Portal: the web portal hosted on the wownature.eu domain (e-mail info@wownature.eu)
• Services: the services sold by Etifor through the “Grow a tree” and “Protect a forest” sections of the Site
• User: the person who accesses the Site, browses it and can subscribe to one of the Services, after registering, according to the procedure provided on the Site.

Registration means the User opening their own account on the Site, following the specific procedure provided on the Site itself.

At the time of registration, the User guarantees that they:

a) are of legal age and capable of understanding and acting (if a minor, registration, data entry and the purchase procedure must be carried out by their parents);

b) are the legitimate holder of the data entered, which is to be understood as true, correct, complete and up to date;

c) will comply with all laws and contractual rules applicable to the relationship with Etifor;

d) will not transfer their Credentials to third parties.

Etifor reserves the right not to accept the registration or Order request, as well as to remove a User’s account in all cases where abuse and/or breach of these General Conditions, irregularities, misconduct and the like may be found. The User is solely responsible for accessing the Site with their own Credentials and is liable for all operations carried out on the Site through those Credentials.

The User may request the deletion of their account at any time by sending an e-mail to: info@wownature.eu.

2.1 Features

Users can subscribe (by filling in the Membership form in electronic format to be sent to Etifor electronically, following the relevant instructions) to the following Services, by accessing the sections of the Site indicated below. Please note that by placing the Order the User expressly accepts these General Conditions.

a.“Grow a tree ”

Etifor offers the User the possibility to join an environmental project for the growth and development of trees or plants in a given territory, according to the terms indicated from time to time on the Site in the information sheet dedicated to that project.

By subscribing to this service, the User will receive, in return for the contribution paid, a digital “adoption” certificate for one or more trees, visible in their personal area on the Portal; in addition, they will be periodically updated by e-mail by Etifor on the supported Project. At the time of subscribing to the Service, the User must indicate the number of trees they wish to have planted, choosing among the species available within the individual reforestation projects.

Please note that no tree will be delivered to the User; the trees subject to the service the User intends to subscribe to will in fact only be planted within the land concerned by the supported environmental projects visible in the dedicated section of the Site. The User therefore cannot claim or assert any ownership right over the co-financed trees or over any fruits/products thereof.

By accessing the section of the Site “Give a tree”, through the link within the page “Grow a tree”, the User may also decide to give the co-financed tree to a third party. Please note, however, that the digital adoption certificate may be issued in the name of the gift recipient only after the latter has registered on the Site.

In this case too, what is specified in the previous paragraph regarding the exclusion of the delivery of trees and the absence of ownership of any tree by the User and/or the third-party gift recipient remains valid.

b.“Protect a forest”

By subscribing to this Service the User may co-finance a forest management environmental project promoted by Etifor, described in more detail from time to time on the Site in the information sheet dedicated to that project.

In this case too, the User, in return for their contribution, will receive a digital certificate visible in their personal area on the Portal; in addition, they will be periodically updated by e-mail by Etifor on the supported Project. What is specified in section a) above therefore remains valid regarding the exclusion of any right of the User to the delivery of trees and/or the recognition of ownership of any tree.

2.2. Fees

Each project description sheet will state the minimum amount that the User may pay in order to subscribe to and support that given project.

• As regards the “Grow a tree” service the price will be determined according to the characteristics of the individual project. Therefore, the price of each tree may vary from species to species and the same species may have different prices in different areas. The amount paid by the User will support the following activities by Etifor: – Purchase of the seed of the tree or plant indicated in the project from a professional partner of Etifor (nurseryman or similar) in order to carry out the process of cultivating the seed and growing the tree or plant until the period suitable for installation in the territory identified in the project; – Coordination with the competent professional for the planting of the plant or tree.
• As regards the “Protect a forest” service, the price will be determined according to the characteristics of the individual project and may therefore vary from project to project.

In both cases, the fee to be paid by the User: (i) will be expressed on the platform in euros; (ii) must be paid according to the methods indicated at the time of the Order and, in any case, in a single payment; (iii) will already include all charges, VAT included. No further costs will therefore be charged to the User.

2.3. Payment methods

Payment of Orders may be made:

(i) by credit card. To ensure transaction security, the technology created by the international company Stripe has been chosen. For information https://stripe.com/en-it.

(ii) through the PayPal platform, where, by logging in with their own credentials, the payment can be completed by debit to a credit card, bank account or electronic wallet.

Etifor reserves the right to provide for further payment methods in the future.

In the case of payment by credit card, financial information (for example, the credit/debit card number or its expiry date) will be forwarded, via an encrypted protocol, to the banks providing the relevant remote electronic payment services. Such information will never be used by Etifor except to complete the purchase procedures and to issue the relevant refunds in the event of exercise of the right of withdrawal, or where it becomes necessary to prevent or report to the police the commission of fraud through the Site.

The price for subscribing to the Services will be charged at the time Etifor sends the Order receipt confirmation. Etifor will in fact confirm the Order by sending an e-mail to the e-mail address provided by the User. This e-mail will contain the constituent elements of the Order (order number, prices, methods of execution of the chosen services). It is the User’s responsibility to verify the correctness of the data in this order confirmation e-mail and to promptly notify Etifor of any errors or omissions, by writing to the e-mail address: info@wownature.eu.

2.4. How the Service is carried out

Etifor undertakes to make every effort so that both types of Service the User may have subscribed to can be completed within 36 months of the Order confirmation.

However, these timeframes are merely indicative and in no way binding on Etifor, as they may vary significantly depending on the conditions and seasonal cycles of the areas where the planting projects are to be carried out.

Significant changes may be communicated to the User through the personal area.

2.5. Force majeure

Etifor cannot be held liable for total or partial non-performance of any obligation set out in these General Conditions, where such non-performance is caused by unforeseeable events and/or natural events beyond its control and responsibility, including, by way of example but not limitation, natural events (disasters), acts of terrorism, wars, popular riots, etc.

Please also note that, for reasons of force majeure, the species selected by the User with the Order may not be available at the time planting should take place. Similarly, it may not be possible to proceed with planting in the country indicated on the Site at the time the User placed the Order.

This could happen, by way of example, due to:

1. a supervening impossibility to operate in the country indicated on the Site at the time of the Order due to climatic, ecological, political or social adversities, or operational difficulties in the proper management and maintenance of the project;
2. a supervening impossibility to operate, in safe conditions, in the countries where the requested species can be planted;
3. failure of the species to take root in the nursery or a high likelihood that the species, once transplanted, would not take root;
4.   any impossibility of planting the species chosen by the User due to unforeseeable events not attributable to Etifor’s actions, such as – by way of example and not limitation – the sudden difficulty in obtaining agricultural raw materials or the unexpected and unpredictable increase in the costs of planting and managing the species itself, caused by events unrelated to the relationship between WOWnature, Etifor and the User (by way of example and not limitation, pharmaceutical discoveries) that do not allow the agreement between the parties to be implemented under the agreed conditions.

    

In case of force majeure, the execution of the Order may, at Etifor’s discretion, be modified, suspended and/or cancelled (with a refund in the latter case) following appropriate notice to the User. By accepting the General Conditions, the User implicitly consents to such changes (e.g. a change of the chosen species), provided that a number of trees not lower than that originally requested in the Order will be planted.

2.6 Withdrawal

The right of withdrawal is excluded, except where the User is a Consumer. In the latter case, the User may exercise this right within 14 days of sending the Order by sending a written communication to the contact details in paragraph 5. However, the exclusions set out in art. 59 of the Consumer Code will apply. In particular, the right of withdrawal will be excluded:

–  where the fee paid by the User is less than EUR 50.00 (art. 47, paragraph 2 of the Consumer Code);

–  in any case, where the Service has already been performed (and specifically where the tree subject to the Order has already been planted). Please note that in the case of subscription to the “Give a tree” Service, the Service will be deemed already performed where Etifor has notified the third-party recipient.

Etifor is not liable:

• for any prejudice arising from the use of the Site and the Services by the User in a manner contrary to the provisions of these General Conditions;
• for any prejudice arising from the User’s use of Services not provided directly by Etifor;
• for cases of force majeure such as, by way of example, computer or electronic failures, technical failures of the Site, interruption of telecommunications including networks and in particular the internet.
• for any prejudice that may arise to Users as a result of the suspension of the Site and the Services in cases of force majeure;
• for the information, data and content entered or transmitted by the User through the Site and the Services, including services not provided directly by Etifor;
• for any prejudice to the registered User arising from the loss / misplacement / unlawful or abusive use of the Credentials.

The Site, the “Etifor” and “WOWnature” trademarks and the domain name wownature.eu and all the contents of the Site (including, by way of example and not limitation, texts, documents, images, logos, photographs, page layout, design and know-how) are the exclusive property of Etifor, which is also the holder of the related intellectual property rights.

Any use and reproduction (even partial) of the logos relating to the above trademarks, on any type of medium, as well as of the elements and contents that make up the Site, are formally prohibited.

The trademarks and logos of the platforms that provide payment tools, social networks, couriers and the like, and any other logo not directly or indirectly attributable to Etifor, are the property of their respective owners and are shown on this Site for information and service purposes only.

These General Conditions and the Services described therein are governed exclusively by Italian law.

For anything not expressly provided for here, reference is made to the provisions of the Italian Civil Code and the Consumer Code, where applicable.

If the User is a Consumer, for the resolution of disputes arising from the application of these General Conditions, they may first have recourse to out-of-court dispute resolution procedures, pursuant to articles 141 to 141- decies of the Consumer Code.

The Consumer User may in any case assert their rights through the ordinary courts at the court of their place of residence or elected domicile.

In all other cases, the Court of Padua shall have exclusive jurisdiction for the resolution of disputes.

Any communication between the Parties will be considered valid and effective if made, as regards Etifor, to the contact details indicated in these General Conditions in the “Customer Service” section (as possibly updated) and, as regards the User, to the contact details provided at the time of registration or those subsequently changed and notified to the other party.
